NOTICE OF ANNUAL GENERAL MEETING & CALL FOR NOMINATION OF DIRECTORS

NOTICE is hereby given that the 14th Annual General Meeting of Ski & Snowboard Australia will be held at the Vibe Hotel, 100 Bayswater Rd, Rushcutters Bay at 6.00pm on Monday 28th April 2008.

ELECTIONS

The members of the board to be elected shall be two (2) members elected from those nominated for which nominations are hereby called.

Nominations shall be signed by the person nominated and shall be made in writing to the Chief Executive Officer not less than forty five (45) days prior to the date of the Annual General Meeting being before 6.00pm (Eastern Standard Time) on Wednesday 12th March 2008.

If the number of nominations for the respective positions as Director does not exceed the number of vacancies, then the candidates shall be declared elected. If the number of candidates exceed the number of positions available then such candidates shall be elected in accordance with the SSA Constitution.

PROXIES

If a member is unable to attend the meeting, a proxy may be appointed in accordance with Clause 31 of the SSA Constitution. The authorised proxy form will be available with the Agenda of the meeting which will be sent to members no later than thirty (30) days prior to the meeting.

Only persons or entities who have joined the company at least thirty (30) days prior to the AGM date, being before 6.00pm (Eastern Standard Time) on Saturday 29th March 2008, will be eligible to vote at that meeting.
