NOTICE OF ANNUAL GENERAL MEETING & CALL FOR NOMINATION OF DIRECTORS

NOTICE is hereby given that the 13th Annual General Meeting of Ski & Snowboard Australia will be held at the Royce Hotel, 379 St Kilda Road, Melbourne at 6.00pm on Tuesday 23rd October 2007.

Being the first Annual General Meeting following the adoption of a new constitution, the business of the meeting shall include:

  • the election of four (4) directors and;
  • presentation of the 2006 Annual Report (the 2006 Financial Statements including the Independent Auditor’s Report were approved by the membership at the Special General Meeting on 4th June 2007).

ELECTIONS

The members of the board to be elected shall be four (4) members elected from those nominated for which nominations are hereby called.

Nominations shall be signed by the person nominated and shall be made in writing to the Chief Executive Officer not less than forty five (45) days prior to the date of the Annual General Meeting being before 6.00pm (Eastern Standard Time) on Friday 7th September 2007.

If the number of nominations for the respective positions as Director does not exceed the number of vacancies, then the candidates shall be declared elected. If the number of candidates exceed the number of positions available then such candidates shall be elected in accordance with the SSA Constitution.

PROXIES

If a member is unable to attend the meeting, a proxy may be appointed in accordance with Clause 31 of the SSA Constitution. The authorised proxy form will be available with the Agenda of the meeting which will be sent to members no later than thirty (30) days prior to the meeting.

Only persons or entities who have joined the company at least thirty (30) days prior to the AGM date, being before 6.00pm (Eastern Standard Time) on Sunday 23rd September 2007, will be eligible to vote at that meeting.
