Re: Notice of Annual General Meeting
I have pleasure in attaching the Notice of Meeting for the Eleventh
Annual General Meeting of the Company. This year, the Meeting will
be held at Vibe Rushcutters, 100 Bayswater Rd, Rushcutters Bay,
Sydney on Monday 30 May, 2005 at 6pm. If you are unable to attend
the meeting, I encourage you to vote by utilizing the enclosed
proxy form. If you can attend, please bring this letter with you to
facilitate your admission.
The Ski & Snowboard Australia Annual Report will be distributed to
those attending the AGM and will be available on the Ski &
Snowboard Australia Website at www.skiandsnowboard.org.au.
I advise that the Company’s Articles of Association provide the
following voting entitlements to members of the Company:

(a) |
Individual members (who have joined the Company directly, or who
are financial members of a State Ski Association provided that
the State Association has submitted the individual as a member
and paid the prescribed capitation fee in their respect) are
entitled to 1 vote; |

(b) |
Family members (who have joined the Company directly, or who are
financial members of a State Ski Association provided that the
State Association has submitted the family nominee as a member
and paid the prescribed capitation fee in their respect) are
entitled to exercise 1 vote on behalf of all members of the
family; |
|
(c) |
State Ski Associations are entitled to the following number of
votes: |

(i)
NSW Ski Association - 20 votes;
(ii)
Victorian Division - 20 votes;
(iii)
ACT Ski Association - 12 votes;
(iv)
SA Skiers Association - 8 votes;
(v)
Tasmanian Ski Council - 8 votes; |

(d) |
Corporate members are entitled to the following number of votes: |

(i)
a Corporate member being a ski club - 5 votes;
(ii)
a Corporate member being a commercial organisation – 2 votes; |

(e) |
Associate/Affiliate members are not entitled to vote; |
|
(f)
|
Life members are entitled to 1 vote; |
|
(g) |
Honorary members are not entitled to vote; and |
|
(h) |
The Patron is not entitled to vote. |
Proxy Votes.
Members are to submit the original proxy vote to the
Ski & Snowboard Australia office by the close of business on
Thursday 26 May, 2005. I hope you will take advantage of this
opportunity and look forward to your attendance.
Registration of Proxy Votes.
Members holding proxy votes are
requested to attend the AGM venue for registration one (1) hour
prior to the scheduled commencement time of the meeting to
validate the proxy. Members with substantial proxies, in excess of
20, are especially asked to register one hour before the meeting.
